    Read this BS

    I write to you today to let you know some of what’s been going on “inside” the VCA this year. If you are like I am, and I believe most of you are, you’d rather be out driving your car fast, making money, enjoying your family and friends and avoid the politics and other negative stuff that can happen in larger groups of people where a few folks can ruin a good thing for an entire group. The VCA is certainly facing this situation right now and can use your help as members.

    Today, the VCA is facing yet another challenge. This time it’s an internal challenge, like a cancer. Internal challenges can be one of the most difficult challenges to overcome. You see, a small group of ex-board members and officers have worked together tirelessly for over a year now to take control of the VCA using any and all means possible. When they failed at taking over the VCA during our last election, this same small group worked very hard behind the scenes to disrupt the new leadership team that took over in January 2013. See details from actual emails at the end of this letter.
    For example, part of this group, we’ll call them the “splinter group”, actually interfered with and were successful at delaying the 2013 raffle car program. This hurt the VCA’s cash flow and caused our magazines to be delayed and dues payments to our Regions to be delayed. You may not know this, but the VCA has always relied on raffle cars for funding the club’s many programs and activities as the VCA actually spends more on member benefits than it receives from membership dues.

    Then, in late August of this year, one of our VCA Board of Director members (now an ex-VCA director and officially a member of the splinter group) actually leaked a confidential letter that was from Chrysler to the VCA. This letter, that was not addressed to him and that he was not supposed to receive, discussed confidential issues that we were working together with Chrysler, specifically Mopar, on solving. Somehow this letter got to “Jalopnik” and with considerable negative spin provided by the “splinter group”, the title read “Chrysler Declares War on the World’s largest Viper Club”. That, of course, is the VCA. Now, we were not at war with Chrysler and Chrysler was not at war with the VCA, quite the opposite, but the facts didn’t seem to matter to the splinter group that was trying to destroy the VCA. The damage done to the relationship with Chrysler and SRT had been done. The side effect, of course, was damage to the Viper Nation as a whole and to all Viper owners and potential owners. Look at current Viper sales if you doubt the negative impact that these individuals have had on our group and on Chrysler and SRT. What high end car owner would want to be affiliated with an owner’s group that behaves like these guys have????

    So, what happened next?

    A group of 10 board members decided to hold an unauthorized “special” meeting, did not invite all current VCA board members (there are a total of 15 BOD members), took an improper vote and suspended our current president, Lee Stubberfield, then informed Lee that he was suspended. They also informed me, as treasurer, to stop writing checks. Lee and I were then both “moderated” so that we could not communicate with anyone on the VCA website. They did all of this without any authority to do so and without even having a majority of votes of the 10 BOD members that they “specially” invited.
    See the two attached actual emails below written by then VP Randall Arnold and signed by Maurice Liang, both current members of the splinter group, for the results of that meeting as outlined above.

    Lee,
    In light of the current status of the club, the VCA board held a special meeting last night and voted to remove you from the office of president, suspend your membership indefinitely, and moved to expel you from the Viper Club of America. The vote was cast by ten of the fifteen board of directors.
    Our decision to suspend you was based upon:
    a) Your disruptive behavior during the board call on 8/22/13, which demonstrated your lack of leadership abilities.
    Letter to Members November 3, 2013
    b) Your lack of communication with the board and misrepresentation of information which has seriously damaged the relationship between the national office and the members.
    c) Your lack of action against the letters that were sent to Chrysler as well as your misrepresentation of the situation between Chrysler and VCA which has seriously if not irreparably harmed the relationship between VCA and Chrysler.

    A formal letter will follow, but we wanted to inform you of this decision immediately, and advise you not to take any further action on behalf of the club. This includes the board call scheduled for tonight. Lee, we would have preferred to tell you this over the phone in person, but since you did not dial in to the call, we are notifying you by email so you hear it first directly from us. We will be announcing this publicly, shortly.
    We trust you will cooperate with us in transitioning the leadership to a new president, and work with us to resolve any issues with the raffle you arranged. We also request that you refrain from making disparaging remarks against any officers, the board, or the club. Per Article II, Section 3, paragraph b of the bylaws, you have 30 days to request a hearing with the Board, and your level of cooperation will be taken into account during this hearing.

    If you have any doubt that this group was planning to try anything to take control of the VCA, these facts should remove all doubt.
    Shortly after taking the above actions, the Splinter group, phoned the VCA attorney and told them what they had done. The VCA attorney advised them that they did not hold a proper meeting per the Bylaws on several counts and that Lee was indeed still President.

    Now, the splinter group is trying to create a new car club by “recruiting” members of the VCA to join their group. Some might call this theft. How would you as business owners like it if a couple of your managers left your company and immediately began recruiting your customers??? I’ll let you as members make that call. In any case, if you want to go start your own car club, fine, but don’t start it by trying to steal VCA members to join your new club.....that is just not right and I believe most VCA members will know this.

    After reading these facts, do some of you current regional Presidents and members really want put your trust with this group, destroy the VCA and move to another car club? Do you really want to recommend that your VCA friends join this group?

    These guys were in such a hurry to get into power that they didn’t even take the time to READ and understand the VCA Bylaws, much less use them properly to achieve their goal of taking over the VCA, which they could not do via election or any other way it seems except to try and convince you that “the grass is greener on the other side of the fence”.

    If this group of so called “leaders” cannot even follow directions to suspend someone properly, can they successfully run a large, multinational car club like the VCA? Part of their sales pitch is that they’ve “done it before and can do it again”. Sorry, this is a false statement. None of the leaders of the Splinter group has managed a club this size. They have no experience at doing this and absolutely no idea what it takes to do so. I cannot confirm that any of them even have small business CEO experience. They have no money (but they did borrow some from a fellow member to get started) and are making promises that they just cannot keep.

    Please think about the information presented here, ask the important questions and talk about what you are about to do before leaving the VCA and moving on into uncharted waters with this brand new group.
    If I were a current regional president, there’s no way I’d consider recommending to my members that they switch to this unknown entity from a known, successful entity like the VCA, not for at least a couple of years until they have proven that they can do the job that they are claiming that they can do.

    If you as a VCA member have been contacted by your current VCA Regional President and told to “switch to the splinter group” or else, for some crazy reason(s), please know that the VCA will live on, likely long past the
    splinter group.

    New local VCA leadership will emerge from within the VCA as needed by members like you who will step up and take over as new regional leaders. Feel free to contact any of us below if you are interested in stepping up to help lead your region.

    Assets like the VCA Website, our award winning Viper Magazine, International Viper Registry, Viper Parts America (enjoying record sales again this year), owning and storing Viper body “tooling” for all Generations, i.e. 1, 2, 3, 4 and Viper legacy parts simply cannot be duplicated by the Splinter group.

    The response below was written on Oct 21st by me and posted by MoparBoyy at my request on the VCA website. It was to answer a post by ViperJohn about some inconsistencies stated about the meetings. The thread was up for a few days, then as par usual.... the complete thread was deleted by the VCA. Here was my response posted for me by MoparBoyy:

    Mr. ViperJohn,

    Since you have me at a disadvantage, I have to resort to having someone else post this for me. I am on vacation so I'll make this as short as I can.

    Sir, you seem to have your "facts" a little off kilter. Let me enlighten you on a few things. First of all after the letter from Chrysler came out, Jim Johnson asked for a BoD's conference call consisting of myself, Maurice, and the ZD and DAL's. A discussion about the letter and to take a poll on suspending Lee. Lee and Dan were not invited to the conference call. I and the others were given the access code for the conference call Jim initiated.

    A half an hour before Jim's conference call was to take place I was asked to call in on another conference call requested by Lee. Lee informed me and the other BoD's that he had (on his own accord) decided to suspend Jim. I told Lee that was not a good idea, citing that his judgement was as bad as Nixon firing Archibald Cox the special prosecutor during the Watergate investigation.

    Before I got off the conference call with Lee, I gave Lee and Dan the access code to get on Jim's conference call. I did this out of FAIRNESS to Lee and Dan. This was Lee and Dan's chance to answer any questions and to defend themselves if need be. BUT I made it perfectly clear that if they dialed in on the call, that they announced themselves, Yes I gave them the access code to Jim's conference call. So Lee and Dan dialed in on Jim's conference call with the ZD and DALs and you know the rest. Lee showed himself on that call, everyone heard the way he sounded and that is all I will say about that. One of the people on that call recorded it, I think someone posted the link on Viper Alley. So any of you can hear the whole conference call.

    Not more than 5 minutes after that conference call, Lee calls me screaming and yelling... "WHY DIDN'T YOU AND DAN STICK UP FOR ME!" "WERE YOU EVEN ON THE CALL?" On and on and on.....

    The next conference call was with the BoD's again. They wanted to vote on whether to suspend Lee. Lee and Dan were not invited to that call either. They asked me not to give Lee or Dan the access code because they did not want another yelling match and rant from Lee. They had enough votes to remove him whether he and Dan were there or not.

    The vote was taken. And Lee was suspended. It was that evening or the next morning that I informed Lee of the vote via email. Lee called me at my work and pleaded with me to please let him resign. He was afraid of how it would affect his business. I told him that it wasn't my decision to make. That was something the BoD's had to make.

    Oh, before I forget. There were motions at both conference calls (not Lee's) to override the 20 day notice. This was not unusual, as it had been done in past administrations.

    Counsel later informed us that even though we had gone strictly by the VCA bylaws (and did a good job of it), because we did not invite Lee to the "party" the second time for the vote.... it was invalid. We could have had another vote the next day, motion to override the 20 day notice, invited Lee and removed him. But instead we did not want his business to suffer, so we offered to let him resign. He agreed to resign in good faith per his email to the members, and we all know the rest of the story.

    NO, I did not formally resign, EVER. I did threaten to resign on numerous occasions because the questions I was asking were not being answered. Each time I threatened, Lee begged, and I mean begged me to stay. PERIOD. After the secret meetings, and then the letter from Chrysler, I was done. At no point was I going to take the Presidency of the VCA if Lee was removed. I stated this on many occasions following the letter, this was voiced verbally and in written form. So that accusation that I wanted to "seize power" is a blatant lie. A lie to protect VPA.

    And as for your comment on my leadership skills and what I and my Ohio members have done for this club. Please give anyone in the Ohio Region, or any other VCA region a call for that matter. I have lived VCA for the last 12 years of my life. So I take offense to your statement. Just in the last two VOI's, as charity chairman and my Ohio region members have raised over $125,000 for the VCA and it's charities.

    I would suggest before you start making anymore comments about me, you call me and ask your questions. My phone # and email address are all over this website.

    It's all hands on deck at the VCA, the lifeboats are being lowered, abandon ship.

    OMG !!! what a bunch of cry babies !!! The people operating the VCA are indeed a sick bunch of puppies...

    First they delete any opposing opinion and then they have the nerve to show up here with the " we are the victim " song and dance....

    YES, I believe it is the responsibility and obligation of anyone who is on this site/board/forum to recruit any and all people who are members of the VCA to disconnect from the VCA and join up here instead !!!



    I personally will try to get Peerblock over here......... or possibly it might be a good idea to NOT recruit EVERYONE....... ( still have my humor and silly Krate bicycle)

    All of us have gotten a flood of emails and texts about this letter. To their own detriment, it serves nothing more than to push people away by demonstrating the negativity, strategy, and politics within this group.

    There's so much that can be said, but it's not even worth the time. You all know what's happening behind the scenes, no explanation is needed. As we've said, nothing is different. Even in this letter there is a completely inaccurate accusation and several misrepresentations, but even out of context it doesn't benefit them. They've found everyone to blame for issues - certain members, then Jon B, then Ralph, then several of the officers, and also several of the board members (that they hand picked I must add).

    This would continue forever if something wasn't done. They didn't allow change, now they won't even let people leave in peace without attacks. It's good to be away from the negativity.

    No one "stole" their members, they did a good enough job pushing them away themselves.

    I was going to post the letter up myself, but I figured to not do it. The VOA needs to move forward and past this.

    IMHO if the VCA would have gone positive in this letter, they could have salvaged something.

    This reads like a mad sorority girl who is on the outs with her friends. Not a professional club of car owners.

    I hope the VOA doesn't even respond to it, because there is no need to.

    Just like our Toronto Mayor Rob Ford is doing up here, the VCA has done to its people (members). Now they are asking us to look beyond all those actions and continue to follow them and their tactics. Quite a sad case of ethics. What they need is to confess to their mess ( that was poetic) and save any dignity that they have left among us here in wonderland. Allowing them to continue and manipulate us in this fine web they have woven, is something that I do not fall far and hope all of you here do not question. You have all made the right decision and this has become a salvation for me both as a social site and an informative one. The VCA had become a site full of clans and individuals who felt that the number of posts dictates the respect you earn. A Club is a brotherhood that unites people of all races, levels, and lifestyles. We need to respect those traits and treat everyone as equals. There are no rankings here and should never be. Members should be united as one and protect each other from world of hate.

    Stick together VOA members and lets reap the rewards of what a true Club is made of.

    That letter is an embarrassment. I had hoped the drama would have subsided by now. Ridiculous.

    I'm already liking the "Splinter" group better, because the VCA seems to do nothing about the troll infestation that is found within the Gen V forum.

    That's wild ViperSmith, I was thinking the same thing...or an 'Ex' out for revenge can be like a car spinning outta control on the grass haha.

    Alex's comment is well-said also, if you provide something that's trustworthy and credible to people with passion about the Viper...they WILL follow you!

    If they REALLY wanted to 'recruit' new members, they should have marketed to new VCA members that don't know what's going on as their target audience haha.

    I'm not surprised by the letter. It's to be expected at this point. What they're not showing you is the truth but rather bits and pieces of information pieced together to tell their story. I will say that, if anything, it's gotten much worse over the last few months. They are not thinking clearly. They're letting their emotions get the better of them which is clearly represented in the renewal letter. If there's a "What not to do in a troubled car club" it would be to write and send out that renewal letter.

    Notice that the VOA has not stooped to their level. Rather, they've done everything that the VCA leadership said couldn't be done. No drama. No mud-slinging. Open, transparent and inclusive meetings. Open financials. Open by-law discussions. The list goes on. And they have done this in a very short time. Nothing but positive energy coming from the VOA. The VCA, not so much.

    Why on earth would a troubled car club tout everything that is allegedly wrong with a competing car club, personally attack well-known Viper figures, outright lie....in a renewal letter? The letter should've been about all of the positive things the vca offers as a benefit of renewing.

    Instead, this letter advertises everything that is wrong with the VCA and is marketing the VOA directly to the vca membership. LMAO. The vca was worried about people getting the membership lists and targeting VCA members. They did EXACTLY what they were trying to prevent!

    Epic Fail.

    My bad...
    I was looking for the same thread title over there called "Read This BS" and thought that Anon was trying to make it look like he "ran out of space" and couldn't get all the info at the end. (turns out he was just sharing it with us... ooops!)

    It just looked like something they would try...
    My apologies to OP!

    I delete all VCA emails now without reading them and threw away the letter that came in the mag so this didn't look familiar to me.
