I write to you today to let you know some of what’s been going on “inside” the VCA this year. If you are like I am, and I believe most of you are, you’d rather be out driving your car fast, making money, enjoying your family and friends and avoid the politics and other negative stuff that can happen in larger groups of people where a few folks can ruin a good thing for an entire group. The VCA is certainly facing this situation right now and can use your help as members.
Today, the VCA is facing yet another challenge. This time it’s an internal challenge, like a cancer. Internal challenges can be one of the most difficult challenges to overcome. You see, a small group of ex-board members and officers have worked together tirelessly for over a year now to take control of the VCA using any and all means possible. When they failed at taking over the VCA during our last election, this same small group worked very hard behind the scenes to disrupt the new leadership team that took over in January 2013. See details from actual emails at the end of this letter.
For example, part of this group, we’ll call them the “splinter group”, actually interfered with and were successful at delaying the 2013 raffle car program. This hurt the VCA’s cash flow and caused our magazines to be delayed and dues payments to our Regions to be delayed. You may not know this, but the VCA has always relied on raffle cars for funding the club’s many programs and activities as the VCA actually spends more on member benefits than it receives from membership dues.
Then, in late August of this year, one of our VCA Board of Director members (now an ex-VCA director and officially a member of the splinter group) actually leaked a confidential letter that was from Chrysler to the VCA. This letter, that was not addressed to him and that he was not supposed to receive, discussed confidential issues that we were working together with Chrysler, specifically Mopar, on solving. Somehow this letter got to “Jalopnik” and with considerable negative spin provided by the “splinter group”, the title read “Chrysler Declares War on the World’s largest Viper Club”. That, of course, is the VCA. Now, we were not at war with Chrysler and Chrysler was not at war with the VCA, quite the opposite, but the facts didn’t seem to matter to the splinter group that was trying to destroy the VCA. The damage done to the relationship with Chrysler and SRT had been done. The side effect, of course, was damage to the Viper Nation as a whole and to all Viper owners and potential owners. Look at current Viper sales if you doubt the negative impact that these individuals have had on our group and on Chrysler and SRT. What high end car owner would want to be affiliated with an owner’s group that behaves like these guys have????

So, what happened next?
A group of 10 board members decided to hold an unauthorized “special” meeting, did not invite all current VCA board members (there are a total of 15 BOD members), took an improper vote and suspended our current president, Lee Stubberfield, then informed Lee that he was suspended. They also informed me, as treasurer, to stop writing checks. Lee and I were then both “moderated” so that we could not communicate with anyone on the VCA website. They did all of this without any authority to do so and without even having a majority of votes of the 10 BOD members that they “specially” invited.
See the two attached actual emails below written by then VP Randall Arnold and signed by Maurice Liang, both current members of the splinter group, for the results of that meeting as outlined above.

In light of the current status of the club, the VCA board held a special meeting last night and voted to remove you from the office of president, suspend your membership indefinitely, and moved to expel you from the Viper Club of America. The vote was cast by ten of the fifteen board of directors.
Our decision to suspend you was based upon:
a) Your disruptive behavior during the board call on 8/22/13, which demonstrated your lack of leadership abilities.

b) Your lack of communication with the board and misrepresentation of information which has seriously damaged the relationship between the national office and the members.
c) Your lack of action against the letters that were sent to Chrysler as well as your misrepresentation of the situation between Chrysler and VCA which has seriously if not irreparably harmed the relationship between VCA and Chrysler.
A formal letter will follow, but we wanted to inform you of this decision immediately, and advise you not to take any further action on behalf of the club. This includes the board call scheduled for tonight. Lee, we would have preferred to tell you this over the phone in person, but since you did not dial in to the call, we are notifying you by email so you hear it first directly from us. We will be announcing this publicly, shortly.
We trust you will cooperate with us in transitioning the leadership to a new president, and work with us to resolve any issues with the raffle you arranged. We also request that you refrain from making disparaging remarks against any officers, the board, or the club. Per Article II, Section 3, paragraph b of the bylaws, you have 30 days to request a hearing with the Board, and your level of cooperation will be taken into account during this hearing.

If you have any doubt that this group was planning to try anything to take control of the VCA, these facts should remove all doubt.
Shortly after taking the above actions, the Splinter group, phoned the VCA attorney and told them what they had done. The VCA attorney advised them that they did not hold a proper meeting per the Bylaws on several counts and that Lee was indeed still President.
Now, the splinter group is trying to create a new car club by “recruiting” members of the VCA to join their group. Some might call this theft. How would you as business owners like it if a couple of your managers left your company and immediately began recruiting your customers??? I’ll let you as members make that call. In any case, if you want to go start your own car club, fine, but don’t start it by trying to steal VCA members to join your new club.....that is just not right and I believe most VCA members will know this.
After reading these facts, do some of you current regional Presidents and members really want put your trust with this group, destroy the VCA and move to another car club? Do you really want to recommend that your VCA friends join this group?
These guys were in such a hurry to get into power that they didn’t even take the time to READ and understand the VCA Bylaws, much less use them properly to achieve their goal of taking over the VCA, which they could not do via election or any other way it seems except to try and convince you that “the grass is greener on the other side of the fence”.
Please think about the information presented here, ask the important questions and talk about what you are about to do before leaving the VCA and moving on into uncharted waters with this brand new group.

New local VCA leadership will emerge from within the VCA as needed by members like you who will step up and take over as new regional leaders. Feel free to contact any of us below if you are interested in stepping up to help lead your region.
Assets like the VCA Website, our award winning Viper Magazine, International Viper Registry, Viper Parts America (enjoying record sales again this year), owning and storing Viper body “tooling” for all Generations, i.e. 1, 2, 3, 4 and Viper legacy parts simply cannot be duplicated by the Splinter group.
